Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of LikeAds — our website, apps, sign-up flow, and account features (together, the "Service"). LikeAds ("we," "us," "our") is a self-serve advertising ad-tech platform connecting local businesses ("advertisers") with owners of outdoor and digital display screens ("screen partners") in urban major cities.

By creating an account, submitting information through our sign-up flow, or otherwise using the Service, you agree to be bound by these Terms. If you're agreeing on behalf of a business, you're confirming you have the authority to do so, and "you" refers to that business as well as you personally.

The service

LikeAds lets advertisers book advertising space on screen partners' displays, fund campaigns via mobile money, and track their ads — all from their phone. Screen partners list their available screens and unsold airtime, review and approve ads before they air, and receive a share of the revenue those ads generate.

LikeAds is currently in a pre-launch phase in Cotonou. Some features, screen locations, and pricing described on our site may change before or as we launch.

Eligibility & accounts

• You must be at least 18 years old and able to form a legally binding contract to use LikeAds.
• You must provide accurate, current information when you sign up, and keep it up to date.
• You're responsible for keeping your account credentials secure and for all activity that happens under your account.
• One account per business, unless we agree otherwise in writing.

Terms for advertisers

Submitting a campaign

When you create a campaign, you choose the screen(s), schedule, and creative (image or video) you want to run, and fund it via mobile money. You're responsible for making sure your ad content is accurate, lawful, and complies with the content standards described below.

Ad review

Every ad is reviewed by the relevant screen partner before it goes live. Screen partners may decline to air an ad at their discretion — for example, if it doesn't fit their brand-safety standards — and LikeAds does not guarantee that a submitted ad will be approved.

Scheduling & changes

You only pay for the time slots you book. Changes or cancellations to an already-funded campaign are subject to the cancellation and refund terms in place at the time — [to be defined: cancellation window, refund eligibility].

Terms for screen partners

Listing your screens

You're responsible for accurately describing your screen network — including screen type, count, and locations — and for keeping that information current. Misrepresenting your inventory may result in suspension of your partner account.

Ad approval

You agree to review submitted ads in a reasonably timely manner. You retain full creative control over what airs on your hardware and may decline any ad that doesn't meet your standards, subject to acting in good faith and not unreasonably.

Revenue share

LikeAds operates on a revenue-share model: your network is free to integrate, and LikeAds takes a share of the revenue generated by advertisers we bring to your screens. The specific revenue-share percentage and payout schedule will be set out in your partner agreement — [to be defined].

Payments & fees

Advertisers fund campaigns using third-party mobile money services, including MTN MoMo, Moov Money, and Wave. Those transactions are processed directly by the relevant provider under its own terms; LikeAds is not a party to, and does not control, the mobile money service itself.

Prohibited content & conduct

You may not use LikeAds to submit, list, or facilitate:

• Content that's illegal, fraudulent, or misleading
• Content that infringes someone else's intellectual property or other rights
• Content that's defamatory, hateful, obscene, or discriminatory
• Ads for products or services prohibited by Beninese law
• Any attempt to interfere with, disrupt, or gain unauthorized access to the Service

We may remove content or suspend accounts that violate this section, with or without notice.

Intellectual property

You retain ownership of the ad creative and other content you submit. By submitting it, you grant LikeAds and the relevant screen partner a limited, non-exclusive license to display it as part of your campaign.

The LikeAds name, logo, and platform are our property (or licensed to us), and nothing in these Terms gives you rights to use them beyond what's needed to use the Service.

Suspension & termination

You may stop using LikeAds and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if we reasonably believe your account poses a risk to LikeAds or others, or as needed to comply with law.

Disclaimers

LikeAds is provided "as is" and "as available." We don't guarantee that the Service will be uninterrupted, error-free, or that any campaign will achieve a particular level of impressions, engagement, or results. As a pre-launch platform, features and availability may change.

Limitation of liability

To the fullest extent permitted by law, LikeAds and its team won't be liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us, if any, in the [12 months] before the claim arose.

Indemnification

You agree to indemnify and hold LikeAds harmless from any claims, losses, or expenses arising from your use of the Service, your content, or your violation of these Terms.

Governing law

These Terms are governed by the laws of the Republic of Benin. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Benin, unless otherwise required by applicable law.

Changes to these terms

We may update these Terms as LikeAds evolves. We'll update the "Last updated" date above, and where changes are significant, we'll make a reasonable effort to let you know directly. Continuing to use the Service after changes take effect means you accept the updated Terms.
